This Licensing Agreement ("Agreement") governs your use of any music video licensed through the Music Video Marketplace ("MVM"), whether purchased from the catalogue or inside your Workspace.

Standard Licence
Non-exclusive
The everyday licence. The same video may be licensed by a limited number of other buyers until it reaches its licence cap or is sold exclusively.

USAGE RIGHTS
·Personal and commercial use, including YouTube, TikTok, Instagram, and paid advertising
·Use in promotional campaigns, presentations, and live visuals
·Embedding on websites and in paid media placements
·Unlimited streams and plays
·Editing, trimming, colour work, and combining with your own audio in the Workspace or your own editor
RESTRICTIONS
You may not resell, redistribute, or sub-licence the raw video file
You may not claim copyright or authorship of the original video
You may not register the video (or a derivative of it) with a content-ID or rights-management system
The licence is personal to your account and is not transferable

Exclusive Licence
One buyer only
Where a video is offered exclusively, buying it takes the video off the marketplace permanently. Nobody else can licence it afterwards.

USAGE RIGHTS
·Everything included in the Standard licence

RESTRICTIONS
You may not claim authorship of, or credit as the original creator of, the video
Exclusivity is only available while a video is still eligible — a prior standard sale can remove that eligibility
Exclusive availability is re-checked at the moment of payment; if it has been taken in the meantime, the payment is refunded and no licence is granted

General Licence Terms
These general terms apply to every licence unless a tier explicitly states otherwise.
·Videos are licensed, not sold — you receive the rights described in your tier, not ownership of the underlying work
·Prices are per video and are shown at checkout in your selected currency; there is no single flat price across the catalogue
·Payment is processed securely through Revolut, including Google Pay and card
·A licence takes effect only once payment has completed successfully
·Licences are not transferable between accounts
What You Are Buying: Deliverables
A purchase is made up of one or more deliverables, priced individually and selected at checkout. You only receive the deliverables you paid for.
·Main video — the full-length landscape render
·Social reel — the vertical 9:16 cut, where a vertical source exists for that video
·Spotify Canvas — the short looping vertical asset, where available
·30-second clip — the short-form cut-down, where available
·Behind-the-scenes — supplementary footage, where offered for that video
·Deliverables you did not purchase remain locked, and can be added later from your account or the Workspace
Music and Audio Are Not Included
If you matched your own track against a video, that pairing is a preview only. Purchases cover the visuals and the deliverables listed on your order. No music, master recording, or publishing rights are transferred, and you are responsible for holding the rights to any audio you combine with the video.
Combined Projects in the Workspace
When a Workspace timeline uses more than one source video, you choose how to licence it at checkout:
·Licence this export only — covers the single combined render you produce from that timeline
·Own every source — licenses each unowned source video in full, so you can reuse them in other projects
·Where every source belongs to one active collection, the collection bundle is offered as a third option
·Source videos you already own are never charged for again
Collection Bundles
Collections can be licensed as a bundle, with the discount applied to the videos in that collection you do not already own. Discounts increase with the number of videos: 10% for two, 15% for three, 20% for four, and 25% for five or more. Each video in a bundle is licensed on the same Standard terms as an individual purchase.
Availability, Licence Caps and Exclusive Retirement
Each video available on standard terms can be licensed by a limited number of buyers. Once that cap is reached, the video is retired from sale. Exclusivity is handled separately:
·Where exclusivity is offered, a short reservation is held while you complete checkout so two buyers cannot claim it at once
·Eligibility is re-verified at the moment of payment; if the video is no longer eligible, the order is cancelled and refunded
·Once an exclusive sale completes, the video is immediately removed from the catalogue, collections, and search, and no further licences of any kind are issued for it
·Licences already granted to earlier standard buyers remain valid — an exclusive sale does not revoke them
Delivery
Files are delivered digitally through your account library as soon as payment completes. Downloads are re-issued from your account at any time while the account remains active. Videos are supplied in high-quality MP4 suitable for all mainstream editing software; the exact resolution available is listed on each video.
Your Responsibilities
By downloading and using a licensed video, you accept responsibility for:
·Holding the rights to any music, voiceover, logo, or other material you combine with the video
·Ensuring your intended use complies with the law and platform rules where you publish
·Not presenting the video as your own original production
·Keeping your account credentials secure — licences are tied to your account
Refunds
Because purchases are delivered digitally and immediately, orders are final once a download has been issued. Where an order fails, is duplicated, or a video was materially misrepresented, contact support and we will put it right.
Breach and Revocation
If a licence is used outside these terms, we may revoke it. Where a licence is revoked for breach, no refund is due.
Governing Law
This Agreement is governed by the laws of England and Wales.
